1. Agreement
By creating an account, accessing ScopeHold, or using the service, you agree to these Terms and Conditions with ScopeHold. If you use ScopeHold on behalf of an organisation, you confirm that you have authority to bind that organisation.
2. The service
ScopeHold is a hosted secrets management service for human-plus-agent teams. It helps users store encrypted secrets, assign access to members and agents, resolve secrets through authorised contexts, and review audit activity.
We may improve, modify, suspend, or discontinue parts of the service from time to time. We will try to avoid material disruption, but we do not guarantee that every feature will remain available forever.
3. Accounts and administration
- You must provide accurate account information and keep it up to date.
- You are responsible for maintaining the security of accounts, devices, sessions, agent keys, provisioning prompts, and access grants under your control.
- Workspace, project, member, agent, billing, and security settings should be managed only by authorised people.
- You must notify us promptly if you believe an account, agent key, secret, or workspace has been compromised.
4. Customer content and secrets
You retain ownership of the data, files, secrets, metadata, and other content you place in ScopeHold. You grant us the rights needed to host, process, secure, transmit, and display that content solely to provide and operate the service.
You are responsible for ensuring that you have the right to store and process customer content in ScopeHold, including any credentials, personal information, confidential information, or regulated data.
5. Acceptable use
You must not use ScopeHold to:
- break the law or violate the rights of others;
- attack, disrupt, probe, or bypass the security of ScopeHold or any third-party system;
- share access credentials, agent keys, or provisioning prompts outside their intended purpose;
- upload malware, harmful code, or content intended to compromise systems;
- reverse engineer the service except where lawfully permitted;
- use the service in a way that creates unreasonable load, abuse, spam, or security risk.
6. Plans, trials, and billing
New accounts may receive a 14-day Team trial. If the trial ends without a paid subscription, the account may be downgraded to the Free plan. Existing data is not intentionally deleted because of downgrade, but over-limit actions may be blocked.
Paid plans are billed through Stripe. If you upgrade from a trial or Free plan, the paid plan starts immediately unless the checkout flow states otherwise. You are responsible for taxes, fees, and payment details associated with your subscription.
Fees are generally non-refundable except where required by law or expressly stated by us. We may change prices or plan limits with reasonable notice where required.
7. Third-party services
ScopeHold depends on third-party providers for infrastructure, authentication, email, payments, security, and other operational services. Your use of those integrations may also be subject to third-party terms or policies.
8. Security responsibilities
We use reasonable technical and organisational safeguards designed to protect ScopeHold. You are responsible for configuring your workspace securely, limiting access to appropriate people and agents, rotating credentials when needed, and reviewing audit activity.
ScopeHold does not guarantee that customer systems, third-party providers, or credentials stored in ScopeHold are secure if they are misconfigured, over-permissioned, compromised, or used outside the service.
9. Intellectual property
We and our licensors own ScopeHold, including the software, design, branding, documentation, and related intellectual property. These terms do not transfer ownership of ScopeHold to you.
You may give us feedback. We may use feedback without restriction or obligation to you.
10. Privacy
Our Privacy Policy explains how we handle personal information.
11. Suspension and termination
You may stop using ScopeHold at any time. We may suspend or terminate access if you breach these terms, create security or legal risk, fail to pay fees, or use ScopeHold in a way that could harm the service or others.
After termination, we may retain or delete account data according to our Privacy Policy, product settings, legal obligations, and operational backup practices.
12. Warranties and disclaimers
ScopeHold is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee uninterrupted availability, error-free operation, or that the service will meet every requirement.
If you use ScopeHold for business purposes, you agree that consumer guarantees and similar laws apply only to the extent they cannot lawfully be excluded.
13. Liability
To the maximum extent permitted by law, we are not liable for indirect, consequential, incidental, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.
To the maximum extent permitted by law, our total liability for claims relating to ScopeHold is limited to the greater of NZD 100 or the fees paid to us for the service in the three months before the event giving rise to the claim.
14. Indemnity
You agree to indemnify us against claims, losses, liabilities, damages, costs, and expenses arising from your customer content, your breach of these terms, your misuse of ScopeHold, or your violation of law or third-party rights.
15. Changes to these terms
We may update these terms from time to time. If changes are material, we will take reasonable steps to notify users. Continued use of ScopeHold after updated terms take effect means you accept the updated terms.
16. Governing law
These terms are governed by the laws of New Zealand. The courts of New Zealand have non-exclusive jurisdiction over disputes relating to these terms or ScopeHold.
